Individual entrepreneur Andrey Viktorovich Svirin, TIN 772872317733, PSRNIP 322774600176722, hereinafter referred to as the "Contractor", hereby offers individuals, individual entrepreneurs, and legal entities, hereinafter referred to as the "Customer", to conclude a paid services agreement under the terms set out below. The offer is posted at the following Internet address: https://tovaroved.moscow/legal/public-offer/
1. Terms and status of the document
1.1. Offer — a genuine document containing the general terms and conditions of the contract and addressed to an indefinite circle of persons within the meaning of paragraph 2 of Article 437 of the Civil Code of the Russian Federation.
1.2. Application — a request from the Customer via the website, email, messenger, phone, or other means describing the object and the intended questions. The application itself does not constitute acceptance of the Offer and does not obligate the Contractor to carry out the study.
1.3. Order-Invoice — a document generated by the Contractor in paper form, as an electronic document, or electronic message, defining the individual terms of a specific order: type of service, object, questions, materials, price, payment procedure, term, result format, and other features. The Order-Invoice becomes part of the contract after acceptance of the Offer.
1.4. Services — conducting contractual out-of-court examination of an object, reviewing the conclusion of an expert or specialist, consulting on issues requiring specialized knowledge, and preparing the corresponding written result, as well as other actions directly listed in the Order-Request. Services are provided within the scope of the Executor's specialized knowledge and competence.
1.5. Specialist's conclusion — a written result of a contractual out-of-court examination, containing a description of the performed actions, professional judgments, and conclusions within the specialist's competence. If a review, consultation, or other result is requested, its name, content, and format are determined by the Order-Request.
1.6. Object — an item, equipment, document, digital data, premises, structure, material, sample, or another subject of examination specified in the Order-Request.
1.7. Materials — documents, copies of case materials, images, audio and video recordings, digital data, links, information, samples, and other data provided for research by the Client, their representative/defender, or another person with a legal basis for their transfer.
1.8. The Customer is an individual, an individual entrepreneur, or a legal entity that has concluded an agreement with the Contractor by accepting this Offer. The terms of the Offer apply to Customers regardless of their legal status, unless otherwise expressly provided by the mandatory norms of the legislation of the Russian Federation. If the legislation provides additional rights and guarantees to a specific category of Customers, the provisions of the Offer do not restrict such rights and guarantees. The Customer has the right to order research in the interest of another person, if this complies with the law and the nature of the service. The recipient of the result is specified separately; such an order in itself does not confirm the authority to represent or the consent of another person to process their data.
1.9. The Payer is the Customer or a third party who, on behalf of or in the interests of the Customer, makes payment for a specific Invoice-Order. Payment by a third party in itself does not make them the Customer or the recipient of the Specialist's Conclusion and does not grant them the right to demand a predetermined conclusion. The recipient of the result is determined by the Customer, taking into account confirmed authorities and legal requirements.
1.10. Representative/defender — a lawyer, defender, representative of the Customer, or another authorized person who has the right, on behalf of the Customer, to transfer materials, formulate questions, and receive results within the confirmed authorities. Authorities are confirmed by a written notice from the Customer via an agreed communication channel, power of attorney, order, or other method provided by law, taking into account the nature of the specific action and the content of the corresponding document. The Contractor has the right to request confirmation of authority. The authority to transfer materials does not in itself constitute authority to modify the assignment, approve additional expenses, or receive results.
2. Conclusion of the contract and acceptance
2.1. Before creating an Order Invoice, the Contractor has the right to assess the sufficiency of the materials, the correspondence of the task to their competence, the absence of a conflict of interest, the possibility of meeting the deadline, and the availability of necessary conditions. Prior to acceptance, the Contractor has the right not to create the Order Invoice without explaining the reasons.
2.2. Full and unconditional acceptance of the Offer is the full or directly specified partial payment of the cost of services by the Customer or by a third party on behalf of the Customer at their request. When paid by a third party, the Customer's intention to conclude the contract and the attribution of the payment to a specific Order-Invoice must be confirmed by agreed correspondence, indication of the payment purpose, or other reliable information. The amount of the payment constituting acceptance of the Offer is determined in the Order-Invoice. In the case of partial payment, the amount paid is part of the total cost of services and is credited in the final settlement. The Order-Invoice must contain a reference to the Offer and the date of its edition. When using online payment, acceptance also consists of the Customer simultaneously marking their agreement with the Offer and making the payment provided for by the Invoice-Order. The terms of this Offer can be accepted by the Customer only by joining them in full. Partial acceptance of the Offer, conditional acceptance, or acceptance with reservations is not allowed. Individual terms of a specific order are determined by the Invoice-Order and are considered agreed upon simultaneously with the acceptance of the Offer.
2.3. The contract is considered concluded from the moment the payment, which constitutes acceptance of the Offer, is received in the Contractor’s account or confirmed by the payment operator. The written form of the contract is considered observed.
2.4. The agreement consists of the Offer, the accepted Order-Invoice, the Application, and documents and messages agreed upon by the Parties. Separate signing of a paper contract or an individual assignment is not required for acceptance of the Offer in the manner provided therein; however, the Parties may agree on their preparation and signing in paper form. The use of electronic documents and electronic exchange channels is not mandatory.
2.5. The Order-Invoice is an integral part of the concluded agreement and contains the individual terms of a specific order, including the type of research, the subject, questions, materials, cost, payment procedure, term, and other agreed features of service provision. In the event of a discrepancy between the general terms of the Offer and the specific terms of the Order-Invoice, the terms of the Order-Invoice shall apply, provided that they do not contradict the mandatory requirements of the legislation of the Russian Federation and do not restrict the rights of the Customer granted by such requirements.
2.6. The Contractor has the right to make amendments and additions to this Offer by publishing a new version at the address specified in this Offer. The new version applies only to agreements whose acceptance is made after the date of its publication and does not change the terms of previously concluded agreements. Separate notification of persons who have not accepted about the publication of the new version is not required. The version of the Offer specified in the corresponding Order Invoice applies to previously concluded agreements. Changes to the terms of an already concluded agreement are allowed by written agreement of the Parties, including through an additional agreement, a new Order Invoice, or the exchange of electronic messages that reliably establish the expression of intent of the Parties. The Contractor has the right to correct obvious typos, technical errors, and inaccuracies in the published text without separate notice, provided that such corrections do not change the subject, cost, deadlines, payment procedure, scope of the Parties' obligations, or other terms of previously concluded agreements. The Contractor maintains an archive of Offer versions and information on their periods of validity.
2.7. The order invoice can be provided to the Customer on paper in person, by mail, or through a delivery service, or sent to an agreed email address, including as a PDF file or text of an electronic message, via an electronic document management system, or another agreed channel. The method of provision is agreed upon by the Parties; electronic format is not mandatory. Prior to the payment, which constitutes acceptance, the Customer is provided with individual order terms and the applicable version of the Offer on paper or in electronic form, including via a link. Separate signing of the order invoice is not required unless otherwise explicitly provided in it or by law. The mere provision of the order invoice without the stipulated acceptance does not constitute the conclusion of a contract.
3. Subject and scope of services
3.1. The Contractor undertakes to provide services in accordance with the agreed Order Invoice, prepare a Specialist's Conclusion, review, or other stipulated result, and deliver it to the Customer or to an authorized recipient designated by them. The Customer undertakes to provide the necessary materials and conditions, accept, and pay for the services.
3.2. The type of service, object, questions, list of materials, name and format of the result, cost, term, and special conditions are determined in the Order Invoice. The provisions of the Offer regarding the delivery of the Specialist's Conclusion and acceptance of services also apply to the review and other agreed result to the extent applicable.
3.3. The Contractor will examine only those objects, materials, and questions that have been agreed upon. New objects, additional questions, re-inspection, analysis of materials submitted later, and preparation of additions are considered additional services unless otherwise agreed in writing.
3.4. The expert opinion may be presented by the Customer to a court, government authority, seller, manufacturer, insurer, or other person. The Contractor does not guarantee its attachment, acceptance, or specific evaluation by a third party.
3.5. The service does not include legal representation, drafting of procedural documents, evaluation of the prospects of a dispute, or participation in hearings. Concluding the Agreement under the Offer by itself is not an appointment of a judicial examination in a procedural act. When the examination is appointed by a court, investigator, or other authorized body, the relevant procedural legislation and appointment document apply; the Offer does not replace them.
4. Independence and quality of the study
4.1. The practitioner signing the Conclusion maintains independence, has no financial or other interest in a predetermined result, and formulates conclusions based on specialized knowledge, studied materials, and applied methods.
4.2. The client has no right to exert pressure, demand the exclusion of unfavorable information, the selection of a method contrary to the professional opinion of the specialist, or a predetermined conclusion.
4.3. Payment is due for the activity of conducting the research and preparing the Conclusion, not for obtaining a result that coincides with the client's expectations or legal position.
4.4. The client's disagreement with objectively justified conclusions, failure to achieve the expected result, or refusal of a third party to accept the Conclusion does not by itself indicate improper quality of service.
4.5. The Contractor corrects any typos, arithmetic, and other obvious technical errors made by them without additional payment. Changes to the assignment, research of new materials, or preparation of new conclusions are paid separately.
4.6. Contractor’s assurances regarding qualifications and legal status. In accordance with Article 431.2 of the Civil Code of the Russian Federation, the Contractor assures the Customer that as of the date of the contract conclusion:
1) The Contractor holds higher education in the fields of: commodity science, construction, law, applied informatics, and electrical power engineering and electrical engineering;
2) The Contractor has documents of additional professional education, including documents of professional retraining and advanced training, related to the types of research they perform;
3) education, professional training, practical knowledge, and existing qualification documents allow the Contractor to conduct a coordinated extrajudicial investigation within the scope of his special knowledge and competence;
4) educational and qualification documents, information about which is reported to the Customer or provided in the Specialist's Conclusion, are genuine and issued in the prescribed manner;
5) The Contractor has no unremoved or outstanding criminal record;
6) there is no information regarding the Contractor in the Register of Disqualified Persons of the Federal Tax Service of the Russian Federation. The Contractor has not been subjected to an active administrative penalty in the form of disqualification and is not prohibited from carrying out the activities stipulated by this Offer;
7) The Contractor is not a person who has been subjected to administrative punishment for the use of narcotic drugs or psychotropic substances without a doctor's prescription or new potentially dangerous psychoactive substances;
8) as of the date of signing the contract, the Contractor is not aware of any other circumstances preventing the performance of the agreed study within the limits of their specialized knowledge and competence.
4.7. Specific information about the Contractor’s education, professional retraining, advanced training, certification, and other documents relevant to the respective study may be indicated in the Invoice-Order, Specialist’s Conclusion, or annexes thereto.
4.8. At the Customer’s request, the Contractor provides information for review regarding documents on education and qualifications related to the subject of the agreed study. Copies of the documents may be provided with the redaction of information not related to the confirmation of qualifications.
4.9. Assurances regarding the existence of education, qualifications, and the absence of obstacles to performing activities do not constitute a guarantee of a predetermined outcome of the research, acceptance of the Specialist's Conclusion by a court, government body, or other person, or the achievement by the Client of a specific judicial, administrative, insurance, or commercial result.
4.10. If after concluding the contract the Contractor determines that the agreed-upon questions are entirely or partially beyond their special knowledge, or that answering them requires a specialist of a different qualification, the Contractor shall notify the Client of this and propose to modify the assignment, involve the appropriate specialist, or cease performance in the relevant part while conducting a settlement according to the rules of this Offer.
5. Rights and obligations of the Contractor
5.1. The Contractor is obliged to act in good faith, comply with the agreed scope of services, ensure the safekeeping of accepted objects and materials, not disclose confidential information, and inform the Client about any identified impossibility to continue the research.
5.2. The Contractor has the right to independently choose scientifically and methodically justified research methods within the scope of the assignment unless special conditions are agreed upon in the Order Invoice.
5.3. The Contractor has the right to request additional materials, documents, samples, explanations, and access to the object, and until they are received, may suspend the timeline for providing services.
5.4. The Contractor has the right to refuse to prepare the Conclusion or to propose to change the assignment if the issues go beyond their specialized knowledge, the materials are insufficient or unsuitable, the object is lost or altered, a conflict of interest is identified, the research is dangerous or illegal, or necessary conditions are lacking.
5.5. The conclusion is signed personally by the Contractor, unless otherwise specified in the Invoice-order. Auxiliary operations, laboratory tests, measurements, and consultations may be entrusted to engaged specialists or laboratories after preliminary agreement of expenses with the Customer. The fact and results of such engagement are reflected in the Conclusion when it is significant.
5.6. The Contractor has the right to send inquiries to third parties but does not guarantee receiving a response and does not acquire authoritative powers under this agreement to demand information.
6. Rights and Obligations of the Customer
6.1. The Customer is obliged to provide complete and accurate information, documents, samples, and objects, to report known repairs, changes, impacts, previous studies, and other circumstances that may affect the conclusions.
6.2. The Customer ensures the existence of legal grounds for obtaining and transferring the object and materials, the necessary permits, consents, or other legal grounds for their use for the agreed research. If the materials are transferred by a representative/attorney or another person, the Customer informs the Contractor about this. The Contractor has the right to request confirmation of the authority and legal basis of the transfer. Representations of the Customer or the transferring person do not relieve the Contractor of their own obligations to comply with the law.
6.3. The Customer is obliged to ensure safe access to the object, the necessary passes, lighting, power supply, and accompaniment, if required by the Order-Account.
6.4. The Customer is obliged to promptly respond to the Contractor's requests, agree on additional expenses, accept the result, and make the payment.
6.5. The Client has the right to receive information about the progress of the work to an extent that does not compromise the independence of the research, as well as to submit motivated comments regarding the compliance of the service with the Order-Invoice.
6.6. The Client is obliged to warn about hazardous properties of the object, biological, chemical, radiation, electrical, mechanical, and other risks. Expenses and losses caused by concealing such information are reimbursed in accordance with the procedure established by law.
6.7. The Client or the person providing materials shall inform about known restrictions on their use and disclosure, including state, commercial, attorney, medical, and other legally protected secrets, preliminary investigation data, and special categories of personal data. Such materials are transferred only if there is a proper legal basis and the necessary conditions for the corresponding regime. The very fact of sending materials does not cancel the restrictions established by law.
7. Transfer, examination, and return of the object
7.1. The transfer of a tangible object, original documents, and samples is formalized by an act, receipt, inventory of contents, courier document, or other evidence that allows establishing the item, condition, and date of transfer.
7.2. During acceptance, if possible, the name, brand, model, serial number, completeness, packaging, seals, visible damage, and photographic materials are recorded. Hidden properties and defects that cannot be detected during normal acceptance are not considered to have arisen at the Contractor without corresponding evidence.
7.3. Disassembly, cutting, sampling, breaking of seals, destruction, or other alteration of the object is allowed only with a separate written consent of the Customer or if such consent is explicitly included in the Order Bill. The Contractor describes in advance the intended nature of the impact, as far as possible.
7.4. If the study involves the natural consumption of the sample or changes in its properties, the remainder is returned if available. Normal consumption of the agreed quantity is not considered damage.
7.5. The return of the object is carried out in the manner and at the expense of the party specified in the Order Invoice. The risk of accidental loss during transportation is borne by the party organizing the transportation, unless otherwise provided by law.
7.6. The Object is stored by the Contractor free of charge for 30 calendar days from the date of sending the Customer a notice of the Object's readiness for return, unless a different period is specified in the Order-Invoice. After the expiration of this period, a fee for further storage may only be charged if its amount or the procedure for determining it is explicitly established in the Order-Invoice or separately agreed upon in writing by the Parties. If the amount or procedure for determining the storage fee is not agreed upon, no storage fee is charged. The Contractor has the right to offer the Customer to pick up the Object or agree on its delivery to the address specified by the Customer. Expenses for packaging, delivery, and insurance of the shipment are borne by the party specified in the Order-Invoice or separate agreement. The Contractor does not acquire ownership of an unclaimed Object.
7.7. In the volume necessary to fulfill the agreed order, technical copying of materials, creation of working electronic copies, scanning, text recognition, and format conversion are allowed. Such actions do not grant the Contractor the right to use the materials for other purposes, publish them, or transfer them to unauthorized persons. Originals of documents, physical media, and objects are not altered or destroyed without separate written consent, except for agreed interventions provided for in clauses 7.3 and 7.4.
7.8. Electronic working copies and received files, including copies in email and used storage systems, are kept only to the necessary extent and for a period justified by the performance of a specific contract, mandatory retention periods, or an independent legal basis for protecting the rights of the Parties. Excess working copies are deleted after they are no longer needed. After achieving the purpose, expiration of the applicable period, or termination of the legal basis, the data is deleted or destroyed within the timeframes provided by law. The conditions and periods for processing personal data are determined by the Personal Data Processing Policy; for inquiries for which a contract has not been concluded, the period established by it of no more than 90 calendar days from the last substantive message applies. This clause does not allow indefinite storage of all materials and does not imply the destruction of originals or physical objects subject to return.
8. Cost and calculations
8.1. The cost, procedure, and terms of payment are specified in the Order Invoice. Unless otherwise stated, services are paid for under the terms of 100-percent prepayment.
8.2. The invoice-order may provide for 100 percent prepayment or partial payment with subsequent payment of the remaining amount. The amount of the payment that constitutes acceptance of the Offer, the amount of the remaining cost, and the payment term are determined in the Invoice-order.
8.3. In the case of partial payment, the amount paid is fully credited towards the total cost of services and is not considered a separate payment for concluding the contract, a deposit, a penalty, or a fee.
8.4. The payment can be made by the Customer or by a third party on behalf of the Customer. When payment is made by a third party, the invoice number and date, information about the Customer, or other information allowing reliable identification of the paid order must be indicated in the payment purpose or in a message to the Contractor. The Customer's obligation to pay the corresponding payment is considered fulfilled in the paid part from the moment the funds are received in the Contractor's account or the payment is confirmed by the payment operator.
8.5. If the invoice provides for payment of the remaining part of the cost after the completion of the research, the Contractor sends the Customer a notification on the readiness of the Specialist's Conclusion and informs the amount due. Unless another period is specified in the invoice, the remaining part of the cost is payable within 3 business days from the date such notification is sent.
8.6. If the Order-Invoice provides for payment of the remaining part of the cost after notification of the readiness of the Specialist's Report, the Specialist's Report is handed over to the Customer after full payment for the services, unless another procedure is expressly provided by the Order-Invoice. In case of timely sending of the notification of readiness of the Specialist's Report, its non-transfer before full payment is not considered a violation of the service delivery period.
8.7. The value-added tax status is indicated in the Order-Invoice and in the settlement documents.
8.8. Laboratory tests, rental of special equipment, delivery, business travel expenses, services of engaged persons, and other expenses are not included in the price unless explicitly stated in the Order-Invoice. They are carried out after prior written agreement on the amount or limit of expenses.
8.9. The contractor issues a cash receipt or another settlement document in cases and in the manner provided by law. When receiving advance payment, subsequently offsetting it, final settlement, refund of funds, and other settlements, cash receipts are generated with the corresponding settlement and payment method indicators in accordance with the requirements of the legislation of the Russian Federation. The cash receipt is sent to the email address or subscriber number provided by the Customer or transmitted in another manner stipulated by law.
8.10. Contractual penalty, fine, or late payment interest for overdue payment under this Offer is not established. In case of late payment, the Contractor has the right to suspend the provision of services or the delivery of the Specialist's Conclusion until the payment specified in the Invoice-Order is received, having previously notified the Customer of this. The absence of a contractual penalty does not relieve the Customer from the obligation to pay for the services actually rendered and agreed expenses.
9. Term of service provision
9.1. The term is indicated in the Invoice-Order and begins to run from the next business day following the occurrence of the last of the necessary events: receipt of the payment specified in the Invoice-Order, which constitutes acceptance of the Offer, receipt of the object, complete set of materials, access to the object, and mandatory approvals.
9.2. The period is suspended for the time of waiting for materials, responses, access, consent for destructive methods, payment of agreed expenses, elimination of hazardous conditions, as well as in other obstacles dependent on the Customer or third parties.
9.3. If the identified scope significantly exceeds the initially intended one or if additional research is required, the Contractor sends a proposal for changing the deadline and price. Without agreement, only the initial scope is performed, if technically possible.
9.4. The Contractor notifies the Customer of the delay and the expected new completion date through the agreed communication channel.
10. Handover of the result and acceptance of services
10.1. The conclusion is transmitted electronically and/or on paper according to the Invoice-Order. The electronic copy can be sent by email, through an electronic document management system, a secure storage, or another agreed channel. The transmission of the Specialist's conclusion to a representative or another recipient specified by the Customer is allowed only after confirming their authority to receive the result. The mere fact of payment or transfer of materials is not sufficient grounds for issuing the Conclusion to such a person.
10.2. Simultaneously with the result or separately, the Contractor delivers the Service Completion Certificate. By agreement of the Parties, the Certificate can be provided on paper in person, by mail, or via a delivery service, or sent to the agreed email address as a PDF file, a scanned copy of the signed document, or an electronic document signed with an electronic signature, through an electronic document management system or by another agreed method. The electronic format is not mandatory. The mere provision of the Certificate does not signify its signing by the Customer; the acceptance procedure is determined by clauses 10.3 and 10.4.
10.3. The Customer has the right, within 5 business days from the date of receipt of the Specialist's Conclusion and the Service Completion Certificate, to sign the Certificate, send motivated written comments indicating specific discrepancies with the terms of the Order-Request, or request clarification on the procedure for transferring or preparing the result.
10.4. If motivated comments are not received within the established period, the Contractor has the right to consider the services accepted in the agreed scope and to draw up a unilateral Act with attached evidence of sending the Specialist’s Conclusion and the Act to the Customer. Failure to sign the Act in itself does not release the Customer from payment. This clause does not limit the Customer's right to make claims in connection with deficiencies in the service in cases and within the time frame provided by the legislation of the Russian Federation.
10.5. An electronic message is considered sent to the address or number provided by the Customer. Legally significant messages are considered delivered under the rules of Article 165.1 of the Civil Code of the Russian Federation, including when they have reached the recipient but have not been read due to circumstances beyond their control.
11. Termination of the contract and impossibility of performance
11.1. The Customer has the right to refuse to perform the contract at any time before the full provision of services by sending a notice to the Contractor at the address otkaz@tovaroved.moscow or to the postal address of the Contractor. In case of refusal, the Customer reimburses only the documented expenses actually incurred by the Contractor in connection with the execution of a specific Invoice-order until the notice of refusal is received. No penalty or other separate fee for withdrawing from the contract is charged. The unused portion of a previously paid amount is refunded to the Customer after determining the amount of expenses actually incurred. If the expenses actually incurred exceed the amount of the payment received, the Customer pays the corresponding difference based on the calculation and supporting documents sent by the Contractor.
11.2. The actual incurred expenses are determined based on payment documents, documents from engaged laboratories and specialists, delivery costs, equipment rental, material purchases, and other evidence of expenses directly related to the execution of a specific order. The distribution of costs by stages indicated in the Order Invoice may be used to inform the Customer about the progress of execution but is not, in itself, a penalty or a predetermined non-refundable amount.
11.3. If performance has become impossible due to circumstances dependent on the Customer, the consequences are determined by the legislation of the Russian Federation, taking into account the scope of actions actually performed and expenses incurred by the Contractor. If performance has become impossible due to circumstances for which neither Party is responsible, the Customer shall reimburse documented expenses actually incurred, unless otherwise provided by the mandatory provisions of the legislation of the Russian Federation.
11.4. The Contractor has the right to refuse performance only in cases and with consequences permitted by law, including the return of the unused portion of the payment and reimbursement of the Customer's losses when such an obligation is established.
11.5. If it is impossible to prepare the Conclusion, the Contractor sends a motivated notice and a calculation of the actually performed part. By agreement, an informational report on the performed actions without answers to questions may be prepared.
12. Confidentiality and Personal Data
12.1. The Contractor maintains the confidentiality of information received in the course of performing the contract. Access and transfer are allowed only to the extent necessary and with the appropriate legal basis: for the performance of the contract, participation of an approved specialist or laboratory, transfer of the result to the authorized recipient specified by the Customer, protection of rights, or compliance with legal requirements. These cases do not cancel special restrictions on disclosing legally protected secrets and processing personal data.
12.2. The use of the Client’s name, trade name, trademark, information about the person on whose behalf the research is conducted, the content of the result, case materials, or information about the object in advertising, portfolio, and publications is allowed only with the separate consent of the relevant person or another applicable legal basis. The Client’s consent alone does not authorize the disclosure of personal data and protected information of other persons.
12.3. Personal data is processed to the extent necessary for receiving the Application, concluding and executing the contract, calculations, research of materials, preparation and transfer of the result, creation of necessary working copies, delivery, and consideration of requests. Detailed conditions are provided in the Personal Data Processing Policy at: https://tovaroved.moscow/legal/privacy-policy/
12.4. Do not send special categories of personal data and restricted access information that are not necessary for the agreed service. If such information is objectively necessary, before its transfer, the Parties determine the applicable legal basis, permissible scope, and protective measures. Ordinary acceptance of the Offer is not sufficient to replace special consent, permission, or other procedure required by law. In the absence of a proper basis, the information is not used for providing the service; the Contractor ensures access restriction and its deletion in the manner provided by law.
12.5. When working with materials of a criminal case, the applicable requirements of Article 161 of the Criminal Procedure Code of the Russian Federation are observed. If the provision of information to a specialist is permitted on the condition of their written obligation of non-disclosure, such an obligation is executed separately prior to the corresponding transfer; acceptance of the Offer does not replace it. Proper warning about the inadmissibility of disclosure and the permissions provided by law are taken into account when using materials and transferring the result.
12.6. The duty to maintain confidentiality applies even after the execution or termination of the agreement within the limits established by law and agreed upon by the Parties. The return or deletion of materials does not allow the disclosure of previously obtained confidential information.
13. Responsibility
13.1. The Parties bear responsibility in accordance with the law and the agreement.
13.2. The Contractor is not responsible for the consequences of the inaccuracy, incompleteness, or untimeliness of the Customer's information, for changes to the object before or after its examination, as well as for decisions of third parties, if there is no fault of the Contractor.
13.3. The Contractor does not guarantee a specific judicial, administrative, insurance, commercial, or other result.
13.4. The terms of this Offer do not apply to the extent that they limit the rights of the Customer provided to them by the mandatory provisions of the legislation of the Russian Federation. Providing identical or more favorable contractual terms to all Customers does not change the legal status of the Parties as determined by law.
13.5. A Party is released from liability for breach due to extraordinary and unavoidable circumstances if it timely notifies the other Party and confirms their impact on performance.
14. Exchange of messages, claims, and disputes
14.1. The Parties shall have the right to exchange documents on paper in person, by mail, or through a delivery service, and also, by agreement, documents and messages via email, through a messenger, an electronic document management system, and other channels that allow identifying the sender and the content. The method of exchange shall be agreed upon by the Parties; electronic exchange is not mandatory.
14.2. General and contractual communications should be sent to the address oferta@tovaroved.moscow; notifications of contract termination — to the address otkaz@tovaroved.moscow; requests for refunds — to the address vozvrat@tovaroved.moscow; claims — to the address pretenziya@tovaroved.moscow; inquiries regarding personal data processing — to the address privacy@tovaroved.moscow. The Contractor's mailing address: 117647, Moscow, P.O. Box 15.
14.3. The claim must contain information that allows identifying the Customer and the corresponding Order Invoice, a description of the circumstances, a formulated demand, and supporting materials. The Contractor considers the claim within the period established by the legislation of the Russian Federation. If the mandatory period is not established by law, a response is sent within 15 working days from the date of receipt of the claim.
14.4. The parties strive to resolve arising disagreements through negotiations and the exchange of written communications. If it is impossible to resolve the dispute through negotiations, it is referred to the court in accordance with the rules of jurisdiction and venue established by the legislation of the Russian Federation. This Offer does not restrict the Customer's right to choose a court in cases where such a right is granted to them by law.
14.5. Invalidity of a particular provision does not entail the invalidity of the remaining provisions.
14.6. Email addresses and other channels for contractual communication are indicated in the Order Invoice or in agreed correspondence that allows the Parties to be reliably identified. The Order Invoice, materials, results, Acts, comments, notifications, and approvals can be sent through them. In case of doubt about the sender or their authority, the Contractor has the right to request confirmation. Any change of contact address or recipient of the result must be confirmed by the Customer through the previously agreed channel or by another reliable method.
14.7. The Parties may exchange scanned copies of signed documents for contractual interaction and to confirm the content of correspondence, unless a different form is required by law. A scanned copy is not automatically considered an electronic original with a qualified electronic signature. Signing an electronic document with a simple or non-qualified electronic signature is allowed if there is a procedure provided by law or separately agreed upon by the Parties that allows identifying the signing person. If necessary, the Parties will agree on exchanging paper originals or using an electronic document management system. The mere fact of sending a document does not replace the recipient's consent or signature.
